BY-LAWS OF THE NEBRASKA NEWS PHOTOGRAPHERS ASSOCIATION (NNPA)

Article I: Structure

A. The Nebraska Chapter of the National Press Photographers Association (NPPA) is Called the Nebraska News PhotOl!raphers Association (NNP A) and will be organized with an Executive Board and functional committees when necessary.

Section One - Executive Board

A Definition. The Executive Board will be the governing body of the Nebraska News Photographers Association (NNPA).

The Executive Board will establish and implement the Chapters policies, goals, and objectives as well as approve all activities, supervise operations, and provide leadership development for members. .

B. Membership. The Membership of the Executive Board will consist of the following officers: President, TV Vice-President, Still Vice-President, Secretary, and Treasurer.

C. Meetings. The Executive Board will meet as determined necessary by the President.

Section Two - Committees

A Definition. Committees are formed as a functional unit to perform specific duties for an indefinite timeperiod.

B. TV Contest Committee. The membership of this committee will consist of a Committee Chairperson who is a TV News Photographer, and as many committee members as needed or are interested. Officers and any general members of the NNP A may participate. .

C. Still Photo Contest Committee. The membership of this committee will consist of a Committee Chairperson who is a Still News Photographer, and as many committee members as needed or are interested. Officers and any general members of the NNP A may participate.

D. Student TV Contest Committee. The membership of this committee will consist of a Committee Chairperson who is a TV News Photographer, and as many committee members as needed or are interested. Officers, college instructors, and any general members of the NNP A may participate.

E. Nominations Committee. The nominations committee shall consist of three (3) members, appointed by the Chapter President It is their duty to submit the names of at least two (2) qualified candidates for each vacant office. The names will be presented to members at the annual awards banquet. The voted will be taken at that meeting, and the winner will be decided by a majority vote. Any ties will be decided by a coin flip.

4. The vote shall be by secret ballot, and counted by the Board Secretary.

5. If there is a conflict of interest involving the person counting the votes, then the Chapter President may appoint someone who is "not" nmning for office to count the ballots. That person's appointment must be approved by a majority of the board.

6. Ties will be broken by the flip of a coin.

F. Vacancy.

I. In the event that an Executive Board position becomes vacant before the term is completed, nominations for the position will be solicited by the Nominations Committee. Those names will be submitted to the Chapter President, who will appoint one of the nominees to fill the vacancy. That appointment must be approved by a majority vote of the board.

2. All vacancy's must be filled within 30 days after that person has left office.

Section Two - Officer Duties and Responsibilities

A. President.

I. Responsible for the planning and the execution of all chapter activities, including executive board meetings, for hislher term.

2. Provides general direction of the chapter and ensures efficient functioning by facilitating and coordinating the activities of the officers and committees.

3. Coordinates with the national organization.

4. Completes the annual Report and sends it to the national organization. According to the National organizations by-laws, this must be done by May 1st of each year

5. Is responsible for organining the Annual Awards Banquet, and Chairs the Awards Banquet Committee.

6. Serves as the official chapter spokesperson for public relations.

B. TV Vice-President.

I Is responsible for organizing the Annual TV Video Contest, by acting as the Chair of the TV Contest Committee.

2. Responsible for all facets of program by assisting all officers in their respective functions.

Conducts all meetings in the Presidents absence.

C. Still Vice President.

I. Is responsible for organizing the Annual Still Photo Contest, by acting as the Chair of the Still

Photo Contest Committee.

2. Responsible for all facets of program by assisting all officers in their respective functions.

D. Secretary.

I Acts as recorder for all executive board meetings by posting minutes and preparing the agenda.

2.Records attendance at general membership meetings.

3.Publishes chapter newsletter and maintains current phone and mailing lists.

F. Treasurer.

I.Responsible for all facets of the chapter funds including fimd raising, disbursements, reimbursements and maintenance of all records.

2.Develops an annual budget for the executive board to approve.

3.Adheres to all financial codes and guidelines as set forth by our parent organization, the National Press Photographers Association (NPP A).

Article III: Operations Section One - Goals and Objectives

A. During the Chapters Annual Meeting (held in May), the Executive Board of the NNPA will develop Goals and Objectives for the year. The Out-Going President will share experiences from the previous year and facilitate this process.

Section Two - Budget

A. Each committee is urged to develop a budget for their respective committees. This will help in planning the annual activities of each committee. The budget will be approved and controlled by the Executive Board and monitored and administered by the Treasurer.

B. The development of a budget proposal will be a major objective of the Executive Board at the beginning of each year after completion of the Chapter's Goals and objectives.

Section Three - Voting

A. All major decisions ofNNP A operations or the budget will be made by the Executive Board through a majority vote of the members of the Executive Board.

B. In special situations where an official meeting is not feasible, the President may make a reasonable decision with minimum coordination with other officers. The President will report the circumstances and the results of the decisions within 14 days to the other members of the Executive Board

Article Iv: Deficient Performance

Membership in the NNP A is a privilege and any infraction of the Chapter's by-laws, or failure to carry out job functions as an Executive Board member or committee chair will constitute deficient performance.

Deficient performances will be addressed by the Executive Board openly and directly. We will attempt to resolve the issue. However, if the Executive Board feels that the actions of a member are detrimental to the good standing and reputation of the NNP A, that member will asked to resign.

Article V: Amendments

Amendments to these by-laws may be proposed in writing by any member of the Executive Board, or any NNP A member in good standing, at any regular meeting of the Executive Board.

A proposal presented will be voted on during the annual awards banquet, and will become effective upon approval by a majority vote of those present.

Article VI: Review and Ratification

A. Review. The by-laws will be reviewed at the Annual Awards Banquet, and revised if necessary.

B. Ratification. These by-laws will become effective upon approval of a majority vote of the voting members present at the Annual Awards Banquet, business meeting. .

NPPA By-Law~ concerning Chapters

A.PURPOSE

Authority hereby shall be granted for the organizing of accredited NPPA chapters so that local, state or international groups of NPPA members may become more closely associated with NPPA\ activities at state and local levels. Article XV, Section A may only be amended or repealed by a 2/3 vote. of the Board of Directors.

B. GENERAL REQUIREMENTS

1. Chapters may be named as state, local, or area associations, or as chapters.

2. NPPA chapters should strive for 100 percent membership. To be a chapter in good standing, a chapte~ is required to have at least fifty percent NPPA membership of any NPPA membership division.

3. Before application of a chapter charter can be processed the applying organization must have a minimum of ten (10) members of NPPA in good standing, committed as members of the proposed chapter.

4. Existing chapters that fall below NPPA membership mjnimum will be given ninety {gO) day to attain the necessary members.

5. Chapters not maintaining a minimum of ten (10) NPPA members will have the charte withdrawn and surrendered to the director of the region.

6. NPPA student chapters may be formed on college and university campuses offering courses in photojournalism. Chapter activities and elections shall be under the direction of a member in good standing of the NPPA. Chapter members shall be NPPA student members in good standing. The student chapters shall derive funds from individual assessments and projects.

C. CHAPTER BYLAWS

Each chapter may adopt its own Bylaws consistent with the NPP A Bylaws. Article XV, Section C may only be amended or repealed by a 2/3 vote of the Board of Directors present.

D. ORGANIZATION

1. Chapter presidents and vice presidents must be NPPA members in good standing.

2. Chapter offices shall be president, vice president, secretary and treasurer. Other offices be added as provided by the Chapter's Bylaws.

3. Chapter committee~ may be provided as necessary.

4. Chapter officers shall be sworn in by taking an oath of officer similar to that prescribed for NPPA officers.

G. ACCOUNTABILITY

1. Chapters must provide a roster of all members and their NPPA numbers with their annual report, indicating new members for that year.

2. Chapters that fail to carry out membership requirements shall be declared not in good standing by the chapter chairman.

3. An annual report of progress and activity of each chapter must be received by the national chapter chairman, the national executive director and the regional director sixty (60) days prior to the annual business meetings in order that a chapter will remain in good standing. This report must also include a listing of officers, their terms in office, the names and addresses of all chapter members, the identification of newly enrolled members and other information that may be required. The national chapter chairman must provide the chapter and credentials chairmen of the Business and Education Seminar with a list of chapters in good standing thirty (30) days prior to the Business and Education Seminar. If a chapter is declared not in good standing, and wishes to appeal that declaration for the purpose of seating a delegate the chapter must notify the chapter and credentials chair-persons in writing and decision on the appeal will be made as a part of the normal delegate certification procedure by the credentials chair-person. The chapter delegate can be seated by the credentials chairpersons during any official day of business.

F. DELEGATES TO THE ANNUAL MEETING

a. A delegate selected by the chapter, who must be a NPPA non.student member in good standing, will be seated and given the right to speak from the floor at the annual meeting, but shall have no vote. Each chapter may select a delegate. The delegate position is separate and different from the position of chapter board representative, Article V (C).

b. Notice of a delegate to be seated must be mailed to, or given to, the executive director prior to the start of the business meeting, and carry the signature of the chapter president.

c: Each chapter in good standing shall be entitled to representation on the board of directors and will be responsible for bearing the expense of sending a delegate to board meetings should it wish to do so.
